1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Corp Script Inc. ("CorpScript", "we", "us", or "our") governing your access to and use of the corpscript.com website and any related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are accessing or using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
Corp Script Inc. provides CorpFlow, an enterprise resource planning (ERP) software platform designed for manufacturing and operational management. The Service includes:
- The corpscript.com marketing website and information resources.
- The CorpFlow ERP platform, provided under separate license and deployment agreements.
- Technical support, implementation assistance, and professional services as agreed upon in individual service contracts.
Access to the CorpFlow ERP platform itself is governed by a separate Software License Agreement or Subscription Agreement executed between you and Corp Script Inc. These Terms primarily govern your use of our website and general interactions with our company.
3. User Accounts and Registration
Certain features of the Service may require you to register for an account or provide contact information. When you do so, you agree to:
- Provide accurate, current, and complete information.
- Maintain and promptly update your information to keep it accurate and current.
- Maintain the confidentiality of any account credentials.
- Accept responsibility for all activities that occur under your account.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Submit false, misleading, or fraudulent information.
- Upload or transmit viruses, malware, or other malicious code.
- Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems.
- Interfere with or disrupt the Service or servers and networks connected to the Service.
- Scrape, crawl, or use automated tools to extract data from the Service without prior written consent.

5. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Corp Script Inc. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Corp Script Inc.
All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, computer code, and other materials contained on the Service ("Content") are owned, controlled, or licensed by CorpScript and are protected by applicable intellectual property laws.
6. Submissions and Feedback
Any information, feedback, suggestions, ideas, or other submissions you provide to us through the contact form, email, or other channels ("Submissions") shall be deemed non-confidential and non-proprietary. By providing Submissions, you grant CorpScript a non-exclusive, worldwide, royalty-free, irrevocable, sublicensable license to use, reproduce, modify, distribute, and display such Submissions for any purpose.

The Service may contain links to third-party websites or services that are not owned or controlled by CorpScript. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that CorpScript shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
CorpScript, its subsidiaries, affiliates, and licensors do not warrant that: (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.
Any information presented on our website, including but not limited to ROI calculators, savings estimates, performance metrics, and industry benchmarks, are provided for illustrative purposes only and do not constitute guarantees of specific outcomes or financial results. Actual results may vary based on your specific circumstances, implementation, and operational environment.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CORP SCRIPT INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
In no event shall our aggregate liability for all claims related to the Service exceed the amount you have paid us, if any, in the twelve (12) months preceding the claim, or one hundred U.S. dollars (USD $100), whichever is greater.
10. Indemnification
You agree to defend, indemnify, and hold harmless Corp Script Inc. and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.
11. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Corp Script Inc. is incorporated, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, and judgment on the award rendered may be entered in any court having jurisdiction thereof.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.
13. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
14. Waiver
No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Corp Script Inc. regarding the use of the Service (excluding any separately executed Software License Agreement or Subscription Agreement for the ERP platform), superseding any prior agreements between you and us regarding the Service.
16. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.
